Role

As Director, Corporate Counsel, you’ll work collaboratively across the corporate legal team. We are looking for an experienced lawyer who can bring thought-leadership and a proactive approach across a broad spectrum of corporate legal areas, with a primary focus on corporate governance. This is a great opportunity to grow your expertise on a busy, low-ego team with deeply experienced attorneys and strong support professionals. You’ll be responsible for going deep and keeping the corporate legal team and its partners up to speed on the wide variety of cutting-edge issues that we face in our business as we look around corners to ensure a best in class governance and sustainability profile. This role reports to the Vice President, Corporate Legal and is based in Splunk’s Corporate HQ in San Francisco (location flexible).

Responsibilities

  • Support Chief Legal Officer and Splunk’s Office of the Corporate Secretary on all aspects of the company’s sophisticated and award-winning (!) corporate governance, including support of all major processes related to the Board of Directors, Board committees, executive leadership, and others in all areas of corporate governance, securities regulation, and compliance
  • Lead the coordination, preparation and distribution of agendas, resolutions, consents, minutes, and shape content along with other key stakeholders for Board of Directors and committee meetings, as well as assist with director and executive onboarding
  • Partner with and advise the ESG team and cross-functional partners on ESG governance, reporting initiatives, engagement and disclosure, including our climate and sustainability efforts
  • Work with Splunk’s corporate legal team on matters including compensation and benefits, tax, SEC disclosures (including registration, proxy, periodic and Section 16 filings), ESG disclosures and stakeholder engagement
  • Stay current on corporate governance trends and best practices and Nasdaq developments, and translate into clear, concise and actionable guidance and be a resource to the entire corporate legal team in this area
  • Build strong relationships with business partners to ensure the right level of support and collaboration, while ensuring the appropriate governance and controls are in place; you will have significant visibility within Splunk and opportunities for increased responsibility as our team and company grow
  • Develop and implement processes and playbooks to enable continued scale within Splunk’s corporate legal function
  • Advise on general corporate matters
  • Partner with and advise global cross-functional teams, including accounting, corporate development, stock administration, investor relations, public relations, marketing, treasury, tax, payroll, HR, social impact and other legal specializations on a wide range of corporate legal projects, as needed
  • Serve on the Legal Extended Leadership team, contribute to the CLO and other Legal leaders efforts to ensure a robust, healthy and fun Legal & Global Affairs Department environment
  • Manage outside counsel and supervise team members, as needed

Requirements: I’ve already done that or have that!

  • J.D. and in good standing to practice law in the State of California
  • Minimum of 10 years’ experience
  • Significant experience advising clients on corporate governance matters
  • Combination of both tech in-house and law firm practice is preferred
  • Demonstrated understanding of relevant laws and best practices and experience counseling management and boards
  • Outstanding judgment with the ability to understand the criticality and urgency of and issues and prioritize them as appropriate within a fast-paced environment, providing clarity and direction to the team and others throughout the company
  • Ability to find creative solutions to issues, taking a pragmatic approach when balancing legal risks against business interests
  • Excellent written, communication and interpersonal skills and the ability to connect with, and gain the respect of, stakeholders at all levels
  • Proactive, ownership mentality that is most comfortable contributing to collective team and company success
  • Excellent project management skills
  • Be organized, efficient and resourceful with strong follow-through abilities
  • High personal standards of excellence and ethics, as well as the ability to act with discretion and sensitivity

Please note that the base pay range is a guideline and for candidates who receive an offer, the base pay will vary based on factors such as work location as set out below, as well as the knowledge, skills and experience of the candidate. In addition to base pay, this role is eligible for incentive compensation and may be eligible for equity or long-term cash awards.

Base Pay Range

SF Bay Area, Seattle Metro, and New York City Metro Area

Base Pay Range: $236,000.00 – 324,500.00 per year

California (excludes SF Bay Area), Washington (excludes Seattle Metro), Washington DC Metro, and Massachusetts

Base Pay Range: $214,400.00 – 294,800.00 per year

All other cities and states excluding California, Washington, Massachusetts, New York City Metro Area and Washington DC Metro Area.

Base Pay Range: $198,400.00 – 272,800.00 per year
