Job Description

Corporate Legal Counsel, Commercial and Technology Transactions
This position is based out of a Skyworks Solutions, Inc. office with a preference for Irvine, California; Austin, Texas; or Hillsboro, Oregon

Skyworks Solutions, Inc. is seeking a talented lawyer with commercial and transactional experience to join the Skyworks legal team. This position will report to the Senior Corporate Legal Counsel, Business and Legal Affairs of Skyworks. The successful candidate will be able to work collaboratively as part of a small, fast-paced legal team, effectively managing multiple projects and priorities simultaneously.

Key Responsibilities

  • Oversee and assist with a wide variety of transactional and commercial matters in support of Skyworks’ engineering teams, product lines and global business operations, including the following:
  • Draft, review, and negotiate a wide range of agreements, including joint development agreements, design and other inbound license agreements for product development, non-disclosure agreements, inbound and outbound software and evaluation license agreements, vendor agreements for business operations (including IT), and real estate agreements
  • Work with local counsel in other countries to ensure contract review and processes are consistent with company policy
  • Collaborate with intellectual property colleagues and company stakeholders on negotiation of agreements
  • Advise senior management on commercial and transactional matters, providing proactive strategic advice and counsel to internal teams regarding business and legal issues and risks
  • Help resolve business disputes and address other inquires (such as audits) arising out of transactional or commercial matters, working with outside counsel as needed
  • Draft and deliver training materials and presentations related to contractual and commercial requirements
  • Help drive implementation of legal efficiencies to support and improve contract processes and operations, including contract management systems, templates, and negotiation playbooks
  • Perform such other tasks as necessary, or as assigned by legal department management
  • Ability to travel domestically and internationally if needed to meet with legal team members and internal clients and to lead negotiations

Qualifications
• Minimum of 8 years’ experience handling complex legal matters and negotiating contracts
• Familiarity with technology contracts (including joint development and license agreements), sales contracts, procurement contracts, and NDAs
• Experience advising and supporting corporate clients with complex transactional or commercial contracting, whether at a law firm or in-house
• Excellent interpersonal and communication skills, including the ability to collaborate, demonstrate diplomacy, and work well with people at all levels of the organization
• Strong work ethic, attention to detail, and ability to handle and advance multiple projects in a multi-stakeholder environment
• In-house experience at a global, public semiconductor or technology company is a plus
• Experience negotiating real estate contracts is a plus
• Experience guiding clients through audits is a plus
• Experience using or administering contract management systems is preferred
• Highly skilled in standard office software (MS Office, Excel, PowerPoint, etc.)
• Fast learner able to grasp new concepts, process information quickly, and summarize findings and advice in an easy to understand and actionable manner
• Proactive and creative problem solver able to successfully develop and implement new processes
• Sincere interest in the intersection of business, technology and law

Must Have Education and Licenses:
• JD from an accredited U.S. law school
• Member in good standing of the state’s bar where working (or otherwise eligible to practice in such state as in-house counsel)

The typical base pay range for this role across the U.S. is currently USD $122,000 – $231,000 per year. Starting base pay will depend on relevant experience and skills, training and education, business needs, market demands, the ultimate job duties and requirements, and work location. Skyworks has different base pay ranges for different work locations in the U.S. Benefits include access to healthcare benefits (including a premium-free medical plan option), a 401(k) plan and company match, an employee stock purchase plan, paid time off (including vacation, sick/wellness, parental leave), among others. Employees are eligible to participate in an incentive plan, and certain roles are also eligible for additional awards, including recognition and stock.
