The Sandoz Legal team is looking for an experienced transactional Attorney who can be successful within our ethical, fast-paced, adaptive and collaborative culture to support our Business Development and Licensing team (BD&L).

As the Associate Director, Senior Corporate Counsel, you will partner with key stakeholders to advise on, negotiate and draft confidentiality agreements, term sheets, license, asset and/or stock purchase agreements, manufacturing and supply agreements, collaboration, co-development, co-promotion and authorized generic agreements, and other strategic transaction documents to support our BD&L, alliance management and strategy teams. You will be a primary member of the general Legal team responsible for providing day-to-day legal advice in a pragmatic and collaborative manner to assist the business in achieving its goals/objectives in a legally compliant and ethical manner.

Your additional responsibilities include, but not limited to:
• You will advise and consult with your internal stakeholders to proactively educate the business on relevant issues
• Serve as the legal advisor in complex transactions • Analyze complex issues and concepts in a timely fashion
• Review, analyze and keep current on all federal and state legal developments affecting the pharmaceutical industry.
• Provide timely response to day-to-day policy and legal questions raised by the business
• Draft, review and negotiate a variety of deals for BD&L

This opportunity is located at the Sandoz Princeton, NJ site, and will not have the ability to be located remotely. Preference will be given to local candidates not requiring relocation.

The pay range for this position at commencement of employment is expected to be between $183,200 and $274,800/year; however, while salary ranges are effective from 1/1/23 through 12/31/23, fluctuations in the job market may necessitate adjustments to pay ranges during this period. Further, final pay determinations will depend on various factors, including, but not limited to geographical location, experience level, knowledge, skills and abilities. The total compensation package for this position may also include other elements, including a sign-on bonus, restricted stock units, and discretionary awards in addition to a full range of medical, financial, and/or other benefits (including 401(k) eligibility and various paid time off benefits, such as vacation, sick time, and parental leave), dependent on the position offered. Details of participation in these benefit plans will be provided if an employee receives an offer of employment. If hired, employee will be in an “at-will position” and the Company reserves the right to modify base salary (as well as any other discretionary payment or compensation program) at any time, including for reasons related to individual performance, Company or individual department/team performance, and market factors.

Minimum requirements

What you’ll bring to the role:
• Juris Doctor or equivalent Law degree required. • Acceptance to US State Bar is required.
• Minimum 7+ years of relevant transactional experience at a major law firm and/or in-house.
• Position requires a team player with experience working in a multidisciplinary, cross-cultural environment, with high level of flexibility and an ability to exercise initiative and sound judgment, prioritize tasks and maintain efficiency; and identify opportunities for improvement
• Requires proven ability to manage multiple projects at any given time in a fast-paced environment, with a high attention to detail
• Ability to work independently yet collaboratively with senior executives, while keeping key stakeholders informed
• Requires the individual to possess and maintain a valid state driver’s license, along with the ability to safely operate and drive an automobile to perform field calls with customers; Requires a clear driving record deemed satisfactory by Sandoz.
• Demonstrates strategic thinking ability to balance short and long-term goals
• Excellent interpersonal, communication and presentation skills
• Ability to travel as business needs require.
• Computer skills (i.e., Word, Excel, and PowerPoint)

Desirable:
• Prior M&A experience in the pharmaceutical industry as well as experience analyzing anti-kickback compliance issues is preferred.
• Transactional experience in the life sciences sector, including M&A, licensing, co-development, in-out licensing, and supply agreements preferred
• Experience in branded, generic or OTC pharmaceuticals and with federal and state anti-kickback laws preferred.
