INTRODUCTION
This position reports directly to the Associate Vice President for Legal Affairs and University Deputy General Counsel and is responsible for the provision of legal advice and services to University executives and operating units with emphasis on transactional and research matters.

DUTIES AND RESPONSIBILITIES

A. Legal Services

  1. Provides advice and counsel to University officers, administrators and designated representatives on the full range of University legal issues and matters, including but not limited to matters relating to contracts, student and academic affairs, research, intellectual property, and real property transactions.
  2. Reviews and/or approves contracts and agreements as to legality and form, and makes recommendations for approval of legal documents.
  3. Drafts, reviews and provides advice about real property, affiliation, and other legal documents relating to University business and operations.
  4. Furnishes legal opinions as requested by the Board of Regents and senior level executives.
  5. Performs legal research and analyses.
  6. Assists with the drafting and revision of rules, policies and procedures.
  7. Provides training on legal matters to University administrators, staff, and designated representatives.
  8. Attends Board of Regents meetings, as appropriate, to provide information, case summaries, status reports of specific matters, etc.
  9. Advises and counsels executives and managers on matters involving laws of state-wide concern, such as compliance programs and activities, State appropriations, Procurement Code, Ethics Code, Sunshine Law, open records laws, administrative rulemaking and contested cases.
  10. As appropriate, drafts testimony and testifies before State legislative committees and meets with Legislators on legislative proposals affecting the University.
  11. Interfaces with federal, State and county agencies, including with respect to University research.
  12. Meets regularly with clients to prepare for negotiations, proceedings, and business transactions.

B. Representation in Courts, Administrative Hearings, Arbitrations and Legal Proceedings

  1. Assists with representing the University in federal and State courts in litigation matters, including pretrial, trial and appellate work; legal research and drafting pleadings, motions, discovery, and briefs; conducting and defending depositions; and participating in oral arguments as needed.
  2. Represents the University in administrative hearings, arbitrations, mediations, and other legal proceedings with external agencies, including but not limited to the Hawai’i Labor Relations Board, Labor Appeals Board, Hawai’i Civil Rights Commission, U.S. Equal Employment Opportunity Commission, Office of Civil Rights, State Land Use Commission, Board of Land and Natural Resources, State Ethics Commission, Office of Information Practices and federal agencies funding research.

C. Other Related Duties

  1. Maintains case records/statistics.
  2. Keeps abreast of current case law and legal developments.
  3. Keeps abreast of University policies and procedures; federal laws, rules, regulations, codes, and executive orders; State statutes, rules and executive directives.
  4. Develops and implements effective working protocols with support staff as appropriate for the effective handling and management of case matters and files.
  5. Keeps the Vice President for Legal Affairs and University General Counsel and University administration apprised of significant cases, risks and projects.
  6. Attends meetings with the President of the University, Board of Regents and University executives.
  7. Provides status reports and responds to inquiries.
  8. Performs other duties as may be assigned.

MINIMUM QUALIFICATION REQUIREMENTS

  1. Law degree from an accredited school of law.
  2. Admission to the Hawai’i State Bar, and license to practice in the Federal District Court.
  3. Five years of experience as a licensed attorney.
  4. Ability to communicate effectively with diverse constituents in higher education.
  5. Ability to work effectively and independently and to take directions from supervisor and clients.
  6. Ability to communicate effectively in writing and verbally on diverse subject matters both in legal and academic settings.
  7. Ability to research, analyze, write about, and present legal issues and concepts in a clear, concise manner.
  8. Progressive responsibility for contract review and drafting and advice on business transactions.
  9. Familiarity with State laws and legislative processes affecting public agencies in State of Hawai’i.
  10. Ability to work as part of a team to provide quality legal services.

DESIRABLE QUALIFICATIONS

  1. Experience in legal issues facing public institutions of higher learning, including but not limited to issues regarding FERPA, CLERY, Title IX, sponsored research, Sunshine Law, open records laws, Procurement Code, Ethics Code, rulemaking and contested cases, limits on public fund expenditure, contract administration, conflicts of interest, student affairs, athletics, intellectual property, academic freedom and integrity, promotion and tenure, university foundation-related matters, cybersecurity and emerging related subject matters.
  2. Experience in civil litigation, trial and appellate practice, and labor and employment law.
  3. Familiarity with Federal and State constitutional principles of equal protection and due process.
  4. Knowledge of Microsoft Word, Excel, Adobe Acrobat, and Google Workspace is extremely desirable.
